个人终身记名会籍 发行价格：30万元/张 创始会籍优惠价格： 2010年05月01日—06月30日22.5万/张 2010年07月01日起25万元/张 2010年11月01日起30万元/张 详情请致电球会：0691-2441999 个人会籍权益 ◆ 个人会籍 1. 凡年满十八周岁并具有完全民事行为能力的自然人，均可在提出申请、支付对价并经球会批准后取得个人会籍，成为西双版纳野象高尔夫球会（以下简称“球会”）记名的个人会员（以下简称“个人会员”）。 2. 个人会籍包含会籍证书和会员卡。 3. 会员活动时应出示会员卡；会员卡不得转借他人使用。 4. 个人会籍的价格不包括根据球会之章程、会规、收费明细等相关规定所要求支付的其他费用。 5. 球会有权随时决定调整球会适用的会籍价格并公布实施。 ◆ 会员权益 1. 个人会籍可于入会二十四个月之后转让。 2. 个人会员可在球会规定的时间内使用球会的高尔夫球场并可以免除果岭费。 3. 个人会员每天可携带三名嘉宾使用球场，其嘉宾的果岭费可享受球会会员的嘉宾价格。 4. 个人会员的配偶和一名十八周岁以下的子女可分别获得个人会籍的附属卡一张。 5. 持附属卡的会员配偶及子女（在本文中单独称为附属卡持有人，与会员合并称为持卡人）可享受与个人会员同等权益，并负有同等义务，但是： (1)在同一天内，无论个人会员、该会员的附属卡持有人单独、分别或共同使用球场，其总共只能邀请最多三位嘉宾。 (2)持附属卡的会员子女，自其满十八周岁后的第二个月起，其所持附属卡自动失效；持附属卡的会员配偶在与该会员解除婚约之后，其所持附属卡自动失效。 6. 持卡人除按规定使用球场外，还有权按照球会的会规、收费明细等相关规定以个人会员的优惠价格使用球会的其他服务项目和设施，包括： (1)会所； (2)练习场； (3)傣式度假别墅或其他会所客房； (4)其他配套设施。 ◆ 会籍转让 1. 个人会员（“转让会员”）在入会二十四个月之后，可将其个人会籍转让给球会或者球会书面认可的第三人（“受让会员”）。 2. 转让会员应首先向球会提出转让申请，球会享有回购个人会籍的权利。 3. 转让会员不同意球会提出的回购价格，可向第三方转让其会籍；但球会享有在向第三方转让的同等价格及条件下的优先购买权。 4. 球会在行使回购权或优先购买权时，将不收取会籍转让费用。 5. 在转让会员申请转让会籍前，转让会员须向球会偿还其作为个人会员期间欠付球会的一切款项。 6. 向第三方转让会籍时，转让会员应在球会批准转让后三个工作日内向球会支付会籍转让费用。 7. 个人会籍转让费用为转让价格和转让会员申请转让当日球会适用的会籍价格中较高者的8%。 8. 在会籍转让得到球会批准后三个工作日内，转让会员还应将会籍证书、会员卡（包括附属卡）连同所有有关文件交还球会，球会终止其会籍。 9. 转让会员完成以上支付和文件交付后，受让会员可到球会办理入会手续。 ◆ 会籍条款 1. 个人会员须遵守球会的章程、会规等相关规定。 2. 个人会员在享受球会所提供的各种服务设施时须出示会员卡。个人会员的配偶或子女在享受球会所提供的各种服务设施时须出示附属卡。 3. 个人会员在使用球会设施或服务之前应预定，球会将按预约以时间先后安排具体的场地。 4. 会员经预先向球会申请并获批准后，可享受一定额度的挂账服务。未经球会批准，任何会员不得享受该项服务。 5. 球会将以递送、邮寄、电子邮件或传真的方式向会员传递相应的服务信息。会员应向球会提供正确的邮寄地址、电子邮件及传真号码，并以书面形式向球会提供地址变更信息。 6. 个人会员不得将会员卡或附属卡借与他人使用。 7. 个人会籍仅为球会会员身份的凭证，会员不得以其会籍用作任何形式的担保，如有违反，球会有权终止其会籍。 8. 个人会员对其会员卡项下的持卡人及其所带嘉宾在球会内给球会或任何第三人所造成的经济损失、人身伤害及其他一切损失承担连带民事赔偿责任。 9. 除非球会有重大过失或者故意，球会对持卡人及其所带嘉宾在球会所受的任何财产损失和人身伤害不承担任何责任。 10.如果持卡人和/或其所带嘉宾有对球会的声誉造成不良影响或损害的违法或不当行为，或威胁其他会员的人身、财产安全的行为，或经常违反球会的章程、会规等相关规定， 球会有权随时以书面通知相应个人会员终止其会籍。 ◆ 费用 1. 个人会员享有个人会籍权利的费用主要包括 (1)会籍费； (2)其他随时发生的根据球会之章程、会规、收费明细所应支付的服务费用。 2. 个人会员的会籍费采用一次性付款的形式支付，个人会员应按照入会合同的约定将会籍费付至球会指定账户。 3. 个人会员无须交纳年会费。 4. 持卡人及其嘉宾在球会享受收费项目的服务后应按球会的规定支付各项费用。除非球会批准其挂账，持卡人应当在每次离开球会之前支付该次所花费（包括所带嘉宾花费）的此类费用。个人会员对其附属卡持有人、持卡人所带嘉宾在球会的消费承担连带支付义务。 6. 个人会员的任何费用如不能按时交纳，个人会员应向球会支付滞纳金，滞纳金自欠交之日至付清之日按应付未付金额每日万分之五计算。个人会员逾期支付所欠费用超过十五日的，球会有权中止该个人会员的会籍。 7. 如逾期付款少于六十日（含），该个人会员会籍自应付未付款项及滞纳金清偿之日起开始恢复；如逾期付款超过六十日，球会有权以书面通知终止其会籍而无需退还其已付款项，同时球会有权继续向其追索欠款及滞纳金。 8. 个人会员的会籍一旦被中止或终止，持卡人就不能够再享有会员的权益，但仍负有向球会清偿所欠款项及滞纳金的义务。 ◆ 入会程序 1. 申请人须填写入会申请表格、送球会审核。 2. 所有入会申请均须经球会批准，并由球会书面确认，球会保留同意或拒绝任何申请之 权利。 3. 经球会书面确认后，申请人应签署会员章程、会籍权益及其他文件。 4. 申请人在按本文规定交纳全部会籍费后，便可取得会员资格。球会将授予个人会籍资 格证书，随后制作发放正式会员卡。 ◆ 申请入会所需资料 1. 申请人填妥的个人会籍入会申请表格。 2. 申请人身份证／护照。 3. 申请人个人证件照片（二寸）三张。 4. 如须申请配偶和子女附属卡的，须提交配偶和子女的证件照片（二寸）三张，结婚证书、子女的身份证件或收养文件。 ◆ 其他 1. 会员卡如因遗失或变更等原因需补办会员卡（或附属卡）的，则每张会员卡应补交证件照片三张及制作工本费。 2. 个人会员须遵守并依从球会制定的章程、会规等相关规定。球会保留解释、修改、增加或删除本个人会籍权益之各项条款及条件之权力，而无须预先通知的义务。 3. 如果个人会员有任何投诉或意见，应以书面形式提交球会。 4. 本个人会籍权益文件以中文及英文两种语言书写，如对本个人会籍权益文件的解释产生分歧，以中文文本为准。 5. 本个人会籍权益文件与球会的章程、会规不一致时，以章程为准。 6. 本个人会籍权益文件自签署之日起对签署者生效。 Banna Wild Elephant Golf Club Rights and Interests of Individual Members Individual Membership 1. Natural person who has reached the age of eighteen and is equipped with full civil capacity is eligible to apply and pay for the individual membership, and thus become the disclosed individual member of the Banna Wild Elephant Golf Club (hereinafter referred to as the “Golf Club”) upon the approval of the Golf Club. 2. Individual membership includes the membership certificate, a disclosed membership cards. 3. Members shall show their membership cards when participating in activities of the Golf Club; the membership cards shall not be used by any person other than the members. 4. Prices of the membership shall not include other fees which shall be paid in accordance with the articles of association, rules, charging standards and the relevant provisions of the Golf Club. 5. The Golf Club has the rights to adjust and execute the membership price at any time. Rights and Interests of Members 1. Individual membership can be transferred after 24 months since the initiation. 2. Individual members are allowed to use the golf course of the Golf Club without paying the Green Fee within the specific time. 3. Individual members are allowed to use the golf course together with 3 guests every day. The guests are eligible to enjoy the VIP preferential when paying for the Green Fee. 4. Spouse and a child below 18 years old of individual members can separately acquire a supplementary card to the individual membership card. 5. Spouse and child of individual members who have acquired the supplementary cards (hereinafter referred to the supplementary card owners, and referred to the card owners together with the members) are eligible to share the equivalent rights and interests and shall assume the equivalent obligations with the individual members, however: (1) No matter an individual member or the supplementary card owners of such member use the golf course individually, separately or jointly, they are allowed to invite at most three guests to use the golf course; (2) If children of the members reach the age of eighteen, their supplementary cards shall become invalid since the second month after their 18th birthday; if any of the members gets divorced, supplementary cards of his/her spouse shall become invalid after the dissolution. 6. Besides using the golf course in accordance with the provisions, the card owners are also allowed to enjoy other services and facilities of the Golf Club by paying the preferential prices in accordance with the rules and charging standards of the Golf Club, including: (1) Chamber; (2) Practice court; (3) Dai-style villas or other chamber rooms (4) Other recreational facilities. Transfer of Membership 1. Individual members (“transferors”) are allowed to transfer their membership to the Golf Club or a third person (“transferees”) with the written approval of the Golf Club after 24 months since the initiation. 2. The transferors shall raise their applications for membership transfer to the Golf Club, which has the rights of re-purchasing the individual membership. 3. Transferors are eligible to transfer their membership to a third party if they do not accept the re-purchase price of the Golf Club; however, the Golf Club shall have the first right of refusal by paying the equivalent prices and under the equivalent conditions with that of the transfer to a third party. 4. The Golf Club shall not pay any membership transfer fees when re-purchase the membership or enjoy the first right of refusal. 5. The transferors must make the payment in full for the services they enjoy during the membership before they apply for transferring the membership. 6. The transferors who transfer their membership to a third party shall pay the membership transfer fees to the Golf Club within 3 working days since the Golf Club approves their transfer. 7. The cost of personal membership is 8% of transfer price or 8% of the membership price applicable to the club on the date of the application for transfer of membership, whichever is the higher. 8. The transferors shall also return their membership certificates, membership cards (including the supplementary cards) and all the relevant documents to the Golf Club and terminate use of their membership within 3 working days since the Golf Club approves their transfer. 9. The transferees are allowed to register their membership after the transferors complete the aforementioned payment and delivery of the documents. Membership Clauses 1. Individual members shall comply with the articles of association, rules and the relevant provisions of the Golf Club; 2. Individual members shall show their membership cards when enjoying the services and using the facilities provided by the Golf Club. Spouse or children of the individual members shall show their supplementary cards when enjoying the services and using the facilities provided by the Golf Club. 3. Individual members shall make reservation before they use the facilities or enjoy services of the Golf Club. The Club will arrange the golf course according to order of the reservation. 4. If members make their applications to the Golf Club and such applications are approved, they are eligible to enjoy the on account service of certain quota. No member shall enjoy such service if they fail to get approval of the Golf Club. 5. The Golf Club will deliver the corresponding service information to the members via delivery, mailing, email or fax. Members shall provide accurate mailing address, email address and fax number to the Golf Club, and shall make a written application if they would like to change the address information. 6. Individual members shall not lend the others their membership cards or supplementary cards. 7. Individual membership shall be recognized as an indication of the status of membership in the Golf Club. Any member shall not make the membership as the guarantee in any format. Otherwise, the Golf Club has the rights to terminate their membership. 8. Individual members shall assume the joint civil liabilities for any economic loss, personal injury or any other loss caused to the Golf Club or any third person by the card owners under their membership cards and the guests they invite. 9. Unless the Golf Club has culpable negligence or intention, the Golf Club shall not assume any liability for any property loss or personal injury which the card owners and their guests suffer in the Golf Club. 10. If the card owners and/or their guests are of any illegal activities or misfeasance which may cause any bad impact or damage to reputation of the Golf Club, any activities which may harm the personal and property safety of other members or violations against the articles of association and rules of the Golf Club, the Golf Club has the right to notify the corresponding members and terminate their membership in written form. Charges 1. Charges for individual membership shall include: (1) Membership fees; and (2) other service fees which shall be paid in accordance with the articles of association, rules, and charging standards of the Golf Club. 2. Membership fees shall be paid in one go. Individual members shall transfer the membership fees to the specified account of the Golf Club according to the initiation contract. 3. Individual members need not to pay the annual membership fees. 4. Card owners and their guests shall pay for the charging services according to the provisions of the Golf Club. Unless the Golf Club allows the card owners to enjoy the on account service, they shall make the full payment (including costs of the guests) before they leave the Golf Club. Individual members shall assume the joint payment obligations for the consumption in the Golf Club of their supplementary card owners and guests of the card owners. 5. If the individual members fail to make the payment in a timely manner, they shall pay late fee to the Golf Club since the due date. The late fee shall be paid in a daily manner at the rate of 0.005% of the unpaid amount. If the individual members fail to make the payment within 15 days, the Golf Club is eligible to terminate their membership. 6. If the overdue payment is made within 60 days (including), the individual membership shall be resumed since the date when the overdue payment is made and the late fee is paid. If the members fail to make the overdue payment within 60 days, the Golf Club is eligible to terminate their membership with a written notice. The Golf Club will not return the payment made, and also has the right to recover the arrears and late fee. 7. As the individual membership is suspended or terminated, the card owners shall not be entitled to the rights and interests of members, but shall still assume the liabilities for the arrears and late fee. Membership Registration 1. The applicants shall fill in the membership registration form and shall submit such form to the Golf Club for examination and approval. 2. All the applications shall be approved by the Golf Club in written. The Golf Club shall reserve the rights of approving or refusing any application. 3. The applicants shall sign off the Articles of Association, Rights and Interests of the Members and other documents upon the Golf Club’s approval in written. 4. The applicants are eligible to acquire the membership after they pay all the membership fees in accordance with the provisions. The Golf Club will award them an individual membership certificate, and provide a formal membership card. Materials for Membership Registration 1. Individual membership registration form which the applicants have filled in; 2. ID card or passport of the applicants; 3. Three photos for document (two inches) of the applicants; 4. If the members apply for supplementary cards for their spouse or children, members shall submit three photos for document (two inches) of their spouse or children, marriage certificate, ID card or adoption document of their children. Others 1. If the members re-apply for a membership card (supplementary card) due to loss of the previous card or replacement of any information, they shall submit three photos for document for each card and pay for costs of the card. 2. Individual members shall comply with the articles of association, rules and the relevantprovisions of the Golf Club. The Golf Club reserves the rights of interpreting, revising, supplementing or deleting any clause or condition of the Rights and Interests of Individual Members without notifying the members in advance. 3. Individual members shall raise their compliant or opinions to the Golf Club in written form. 4. The Rights and Interests of Individual Members shall be written both in Chinese and English. Where any conflicts of interpretation arise between these two versions, the Chinese version shall prevail. 5. Where any inconsistence arises between the Rights and Interests of Individual Members and the articles of association and rules of the Golf Club, the articles of association shall prevail. 6. The Rights and Interests of Individual Members shall come into force since the date when the Rights and Interests of Individual Members is signed off.
